3. Response to Non-Compliant Submissions

PROFESSIONAL SERVICES AGREEMENT

Between CriptoRevolution («THE PROVIDER») and Third Parties («THE CLIENT»)

1. OBJECTIVE:

THE PROVIDER commits to providing professional services in business management and consultancy for THE CLIENT, as detailed in Annex A, an integral part of this contract.

2. LIABILITY OF THE PROVIDER:

THE PROVIDER is not responsible for outcomes requiring authorizations or interventions from third parties (e.g., governmental bodies, banking entities).

3. TERM AND TERMINATION:

3.1 Initial Term:

This Agreement shall commence on the date of its execution by both parties (the «Effective Date») and, unless terminated earlier in accordance with the provisions of this Agreement, shall continue in full force and effect for a period of twelve (12) months (the «Initial Term»).

3.2 Automatic Renewal:

Upon the expiration of the Initial Term, this Agreement shall automatically renew for successive one (1) year periods (each a «Renewal Term»), unless either party provides written notice of its intention not to renew at least thirty (30) days prior to the end of the Initial Term or any Renewal Term. The Initial Term and any Renewal Term(s) shall collectively be referred to as the «Term.»

3.3 Termination for Convenience: Notwithstanding the foregoing, either party may terminate this Agreement at any time during the Term by providing the other party with written notice of termination at least thirty (30) days prior to the intended date of termination.

3.4 Termination for Cause: Either party may terminate this Agreement immediately upon written notice to the other party if the other party materially breaches any of its obligations under this Agreement and fails to cure such breach within thirty (30) days after receipt of written notice of such breach.

3.5 Effect of Termination:

Upon termination or expiration of this Agreement for any reason, each party shall return or, at the disclosing party’s request, destroy all Confidential Information of the other party in its possession and shall certify in writing to the other party its compliance with this requirement.

3.6 Survival:

The rights and obligations of the parties set forth in this Section 3.6, and any right or obligation of the parties in this Agreement which, by its nature, should survive termination or expiration of this Agreement, will survive any such termination or expiration of this Agreement.

4. REMUNERATION:

THE CLIENT will pay THE PROVIDER as per the selected business package or service.

5. CONFIDENTIALITY:

Both parties agree to maintain confidentiality of shared information during the contract term.

6. APPLICABLE LAW:

This contract is governed by United States laws.

7. DISPUTE RESOLUTION:

Disputes will be resolved through mediation in Miami, Florida, USA.

8. SERVICE SPECIFICATION AND INVOICING:

Each service will be detailed in the final invoice, deemed part of this contract.

Project-based services include only items/features specified in the invoice.

Additional activities are billed at $350/hour or via a new quote for extras/add-ons.

9. LIMITATION OF LIABILITY:

THE PROVIDER assumes no responsibility for THE CLIENT’s business activities, including those involving clients, employees, or vendors.

10. BILLING AND PAYMENT TERMS:

Monthly services are billed at the month’s start, the previous month’s end, or on the subscription date (e.g., subscribed on May 6, billed on the 6th each month).

Billing terms will be specified upon invoicing.

11. AMENDMENTS AND MODIFICATIONS:

Any amendments or modifications to this contract must be in writing and signed by both parties.

12. EARLY TERMINATION:

Either party may terminate this contract with a 30-day written notice. Early termination may incur fees or penalties established by CriptoRevolution for each service and event.

13. FORCE MAJEURE:

Neither party is liable for failure to perform obligations due to events beyond reasonable control (e.g., natural disasters, war, government actions).

14. ENTIRE AGREEMENT:

This contract constitutes the entire agreement between THE PROVIDER and THE CLIENT, superseding all prior agreements or understandings.

15. SEVERABILITY:

If any provision of this contract is found invalid or unenforceable, the remaining provisions remain in full effect.

16. NOTICES:

All notices under this contract must be in writing and delivered via email or postal mail to the addresses specified in Annex C.

17. COUNTERPARTS:

This contract may be executed in counterparts, each of which is deemed an original, but all constituting one and the same agreement.
